Terms of Business

These Terms of Business govern the provision of services by BPO Accountants (“we”, “us”) to our clients (“you”). By engaging us, you agree to these terms.
1. Services
Our services will be described in our proposal/engagement letter. Changes or additional work may require a revised scope and fees.
2. Your responsibilities
- Provide accurate and timely information and access to relevant systems
- Review deliverables and notify us of issues promptly
- Maintain your own backups/records where applicable
3. Fees & payment
- Fees are as stated in our proposal/engagement letter (fixed, time-based, or hybrid)
- Invoices are due within 14 days unless otherwise agreed
- We may charge interest/late payment fees as permitted by law
4. Confidentiality
Both parties must keep confidential information private, except as required by law or with consent.
5. Data protection
We process personal data in accordance with our Privacy Policy. Each party shall comply with applicable data protection laws.
6. Intellectual property
We retain rights in our pre-existing materials, methods and tools. Upon full payment, you receive a licence to use deliverables for your internal business purposes.
7. Limitation of liability
To the extent permitted by law, our total liability for any claim arising out of the engagement is limited to the fees paid in the 12 months preceding the claim. We do not exclude liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by law.
8. Non-solicitation
During the engagement and for 12 months after, neither party will solicit the other’s staff without prior written consent.
9. Anti-bribery & sanctions
Both parties will comply with applicable anti-bribery, corruption and sanctions laws.
10. Term & termination
Either party may terminate with written notice as set out in the engagement letter. We may terminate for non-payment or material breach. On termination, fees for work performed remain payable.
11. Force majeure
Neither party is liable for delays/failure caused by events beyond reasonable control.
12. Governing law
These terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction.
